Terms

The rules for using Voxi. Watching, chatting, broadcasting and subscribing all mean agreeing to them.

These terms require disputes to be resolved by binding individual arbitration and waive jury trials and class actions. See where a disagreement is heard.

Who you are agreeing with

Voxi.Live is operated by Code Pause, Inc., a Delaware corporation (“Code Pause”, “we”, “us”). These terms are a binding agreement between you and Code Pause, Inc., trading as Voxi.Live (“Voxi”). Reach us at legal@voxi.live, or through contact.

You accept these terms when you create an account, agree to them in the studio, subscribe, or use Voxi, and again by carrying on using Voxi after they change. If you do not accept them, do not use Voxi.

How old you have to be

You must be at least 13, and old enough where you live to agree to terms like these on your own. If you are not, a parent or guardian has to agree for you, and by using Voxi you are saying one of those is true.

Your account and your channel

Your channel is your username, so the name you choose is the address people share. Be yourself: do not present yourself as another person, a company, or an official account you do not run. We may reclaim or change any username at our discretion.

You are responsible for everything done through your account and for keeping your sign-in secure.

You may not use Voxi if you are on a US sanctions list or in a country or region under comprehensive US sanctions.

What you broadcast stays yours

You keep everything you own. You give Code Pause a non-exclusive, worldwide, royalty-free, sublicensable licence to host, carry, show, reproduce and distribute your broadcasts and anything else you post, to operate, provide and promote Voxi.

Voxi stays ours

Code Pause, Inc. owns Voxi.Live: the software, the site, its documentation, the name and the branding. Using Voxi lets you use it as it is offered; it does not give you ownership of any of it.

You need the rights to what you broadcast

Everything you put on air has to be yours or licensed to you.

• Music. Recorded music almost always needs a licence you do not have from listening to it. If you are not sure you hold the rights, do not play it.
• Someone else's broadcast. Restreaming a match, a concert, a film or another creator's stream needs their permission.

Avatars

Every avatar on Voxi is provided by Voxi or by a vendor Voxi has approved. You cannot upload an avatar or alter a Voxi avatar to break these terms.

Breaking this rule, or trying to, means your username and IP addresses are banned permanently and, as permitted by law, everything you hold with Voxi, Code Pause or its parent company, subsidiaries or affiliates is forfeited.

People who are not you

If somebody else is on your microphone, on your camera, or visible in a screen share, that is your responsibility. Some places require everyone in a private conversation to agree before it is transmitted. Ask them first.

Do not publish other people's private information — a home address, a workplace, a phone number, government identifiers, or a real name behind a pseudonym.

If it is made or altered by AI, say so

If your broadcast shows a real person doing or saying something they did not, or is otherwise generated or manipulated to look authentic, tell the people watching. That is your disclosure to make and the law increasingly requires it. A stylised avatar you are operating yourself is not this.

What may not be on Voxi

• Sexual content. Voxi is not the place for it, and a stream that turns that way will be stopped.
• Anything sexual involving a child, real or generated. This is reported.
• Intimate images of anybody who did not agree to them being shared.
• Attacking people for who they are — race, religion, sex, gender identity, sexual orientation, disability, age, or where they are from.
• Harassment, threats, or encouraging others to pile on.
• Encouraging suicide, self-harm or disordered eating.
• Planning or carrying out crime, or promoting terrorism or extreme violence.
• Selling what may not be sold, and gambling where it is not allowed.

Using Voxi itself

Use the product as it is offered, and within the law. Do not:

• use it for anything unlawful;
• defraud anyone, or send spam;
• infringe anyone's copyright, trademark or other rights;
• scrape it, automate it, inflate a viewer count, flood a room, or work around a limit or a private channel;
• probe or test it for weaknesses, break into any part of it, or put malware on it or send malware through it.

Telling us about something

Write to report@voxi.live with the channel and what you saw. For intimate images of you shared without your agreement, say so in the subject line.

Copyright

Code Pause, Inc. responds to notices of claimed copyright infringement under the Digital Millennium Copyright Act. Its designated agent is the Copyright Agent, Code Pause, Inc., copyright@voxi.live.

A notice must include:

• your physical or electronic signature, as the owner or someone authorised to act for the owner;
• the copyrighted work you say is infringed;
• the material you say infringes it, and where it is on Voxi (the channel, and the date and time if it was live);
• your name, address, phone number and email address;
• a statement that you believe in good faith the use is not authorised by the owner, its agent or the law; and
• a statement that the notice is accurate and, under penalty of perjury, that you are the owner or authorised to act for the owner.

We may remove or disable the material, stop the broadcast, or end the account, at our discretion.

If your material was removed and you believe that was a mistake or a misidentification, you may send a counter-notice to the same address with: your physical or electronic signature; the material removed and where it was before removal; a statement under penalty of perjury that you believe in good faith it was removed by mistake or misidentification; and your name, address and phone number, with your consent to the jurisdiction of the federal district court for your address (or, outside the United States, any district where Code Pause may be found) and to accept service from the person who sent the notice. We send the counter-notice to that person and may restore the material in 10 to 14 business days unless they tell us they have filed a court action.

Anyone who knowingly misrepresents that material infringes, or that it was removed by mistake, may be liable for damages under 17 U.S.C. § 512(f).

We end the accounts of repeat infringers in appropriate circumstances.

What we can do

We can stop a broadcast, unlist a channel, remove a message, or suspend or end an account, at our discretion. Where the law requires it, we tell you which rule and what happened, and you can ask for a review.

Ending it

You can delete your account at any time from your account settings, which releases your channel name.

We can suspend or end an account at any time, for any reason the law allows, including:

• for a break of these terms;
• permanently, for breaking or trying to break the avatar rule;
• for a payment that is not made;
• where the account puts Voxi or other people at risk of fraud or a security breach;
• where the law requires it.

Cooperation with law enforcement

Voxi, Code Pause, Inc. and its subsidiaries comply with a written and signed lawful order from a court or other authority with binding jurisdiction, and disclose all information expressly identified in that order. A lawful order includes a warrant, court order or subpoena that binds us. Where an order is ambiguous, Code Pause, Inc., Voxi and its subsidiary companies err on the side of consumer protection and confidentiality.

We may object to or challenge any order, preserve records when the law requires it, and recover our costs of responding where the law allows. We do not notify you of an order unless we choose to and the law allows it.

We may also disclose information without an order where we believe in good faith that an emergency involving danger of death or serious physical injury to any person requires it.

This does not limit reports and disclosures the law requires us to make on our own, such as reports of child sexual abuse material and tax reporting.

Money

Payments are taken by our payment provider, named on the checkout page.

Refunds sets out the window and how to ask.

To receive tips or be paid out, you first verify your identity with a valid official ID and complete a W-9, or the tax form your local jurisdiction requires.

On a standard account, anything you receive — tips, Vibes or other earnings — waits at least 15 business days before it can be paid out.

We may hold or reverse anything you received from a payment that is refunded, charged back or found to be fraudulent. You are responsible for the taxes on what you earn.

Vibes are a limited, revocable licence to use a feature of Voxi. They are not money, not a deposit and not your property, have no cash value, and cannot be sold or transferred except as Voxi offers. Only a verified creator's earnings can be paid out, under these terms. We may change how Vibes work, and Vibes end with the account that holds them.

Your data

Privacy sets out what is collected and why. The avatar is the sharpest part: it is off until you turn it on, and turning it on is where we set out what your camera reads and ask you to agree to it.

What Voxi does not promise

Quality depends on your machine and your connection — the resolution and frame rate you pick are requests to your hardware, not guarantees. If it is running badly, this page reads your browser and tells you what it found.

Voxi is not guaranteed to be available all the time or to run without errors. It can be down, slow or changed while it is fixed or improved.

To the extent the law allows, Voxi is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.

We are not responsible for delays or failures caused by events outside our reasonable control.

Liability

To the extent the law allows, Code Pause, Inc. is not liable for indirect, incidental, special, consequential or punitive loss, or for lost profits, revenue or data. Its total liability to you for all claims about Voxi is limited to the greater of what you paid Voxi in the twelve months before the claim arose and US$100.

These limits apply except where the law does not allow them.

You will defend, indemnify and hold harmless Code Pause, Inc. and its parent company, subsidiaries, affiliates, officers, directors, employees and agents against any claim, loss, liability and cost, including reasonable legal fees, arising from your use of Voxi, your broadcast, what you post, or your breaking these terms or the law. Code Pause may control the defence of any such claim, and you will cooperate with it.

Where a disagreement is heard

These terms are governed by the laws of the State of Delaware and the Federal Arbitration Act, without regard to conflict-of-law rules.

Before starting arbitration or a small claims case, you must send a written notice of the dispute, with your name, account and what you want, to legal@voxi.live, and give us 60 days to resolve it. The time to bring a claim is paused during those 60 days.

You and Code Pause agree that any dispute, claim or controversy arising from or relating to these terms or Voxi is resolved by final and binding individual arbitration, not in court. The arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules and its rules for multiple related cases, and is seated in Wilmington, Delaware. The arbitrator decides every question of whether a dispute must be arbitrated, including the scope and enforceability of this agreement to arbitrate. Judgment on the award may be entered in any court with jurisdiction.

You and Code Pause each waive the right to a jury trial and to bring or take part in any class, collective, consolidated or representative action. Claims are brought and decided individually only, and an arbitrator may not combine claims of more than one person or award relief to anyone who is not a party.

Two exceptions: either side may bring an individual claim in small claims court, and either side may go to the state or federal courts in Delaware for an injunction to protect its intellectual property. For anything that is heard in court, you agree to the exclusive jurisdiction of the state and federal courts in Delaware.

To the extent the law allows, a claim must be brought within one year of when it arose, or it is barred.

If the class and representative action waiver is found unenforceable for a claim, that claim is heard in the state or federal courts in Delaware and not in arbitration. If you live in a country whose law does not allow these terms to require arbitration or choose your courts, this section applies only as far as that law allows.

If part of these terms cannot be enforced

If any part of these terms is found to be unenforceable, that part is enforced to the fullest extent the law allows, and the rest of these terms stay valid and in effect.

The rest of the agreement

• Whole agreement. These terms, the privacy notice, the refunds policy and the prices on pricing are the whole agreement between you and Code Pause about Voxi.
• No waiver. Not enforcing a term at once does not give up the right to enforce it later.
• Transfer. You may not transfer your account or these terms. Code Pause may transfer them as part of a merger, acquisition or sale of assets.
• What continues after an account ends. Money owed, forfeiture, the licence to what you posted, what Voxi does not promise, liability, indemnity, and where a disagreement is heard.
• Notices. We send notices to the email address on your account; you send them to legal@voxi.live. You agree to receive these terms and notices electronically, and that agreeing electronically is as binding as signing.
• Feedback. Code Pause may use any suggestion you send without paying or crediting you.
• Other people's services. Links and services run by others are theirs, and Code Pause is not responsible for them.
• Headings are for reading only and do not change what a term means.

If these terms change

We may change these terms at any time. A change takes effect on the date shown, and using Voxi after that accepts it. A change does not apply to a dispute that began before it took effect.
